1. GENERAL PROVISIONS
1.1. The Public Organization "Union of Football Players of Tajikistan" (hereinafter referred to as the Union) is a self-governing and non-profit association of athletes, coaches, referees, specialists, and football fans, which does not pursue the goal of making a profit.
1.2. The Union was established through unification to protect the rights and legitimate interests of professional football players who are members of the Union, achieve social and educational goals, and satisfy the spiritual and other non-material needs of society.
1.3. The Union carries out its activities on the basis of the Constitution of the Republic of Tajikistan, the Laws of the Republic of Tajikistan "On Trade Unions", "On Public Associations", and other international legal acts recognized by the Republic of Tajikistan, as well as the Statute of the Union and agreements concluded by the Union.
1.4. In its activities, the Union is independent of state authorities, employers, their organizations (associations, unions), political parties, and other public organizations, is not accountable to them, and is not controlled by them.In accordance with the goals established by this Statute, the Union may engage in any activity not prohibited by law. The Union shall not be liable for the obligations of the state, and the state shall not be liable for the obligations of the Union.
1.5. In accordance with the current legislation of the Republic of Tajikistan, the Union possesses the legal capacity of a legal entity. The legal capacity of the Public Organization "Union of Football Players of Tajikistan" as a legal entity arises from the moment of its state registration in accordance with the established procedure.
1.6. The Union independently determines its development paths, may own separate property, and is liable for its obligations; it may, on its own behalf, acquire and exercise property rights, bear civil responsibilities, and act as a plaintiff and defendant in court.
1.7. The Union has an independent balance sheet, may hold bank accounts, including foreign currency accounts, and, in accordance with the procedure established by law, possesses a round seal, a corner stamp, letterheads with its name, emblems, badges, its own symbolism, and other attributes.
1.8. Official name of the Union:in the Tajik language — Ташкилоти ҷамъиятии «Иттифоқи футболбозони Тоҷикистон»;in the Russian language — Общественная организация «Союз футболистов Таджикистана»;in the English language — Public Organization "Union koof Football Players of Tajikistan".
1.9. The Union carries out its statutory activities within the territory of the Republic of Tajikistan.
1.10. The governing body of the Union is located at the address: Republic of Tajikistan, Dushanbe city, Sino district, Mayakovsky street, 69/2, apartment 1.
2. MAIN GOALS AND TASKS OF THE UNION
2.1. The main tasks of the Union are:The voluntary unification of professional players of the Republic of Tajikistan, providing them with legal, social, and informational (reference) assistance, assisting in preparing professional players for local and international competitions, as well as creating the necessary conditions for the development and promotion of professional football in the regions of the republic and strengthening partnerships in this field.
2.2. To achieve its goals, the Union performs the following tasks:protection of the rights and interests of professional players in law enforcement agencies and state organizations in social and labor relations upon their request;development of proposals and measures for the social protection of professional players, their social and health insurance, and medical services;participation in the development of established rules regulating the sports sector and the activities of professional players participating in competitions;training, educating, and upgrading the qualifications of personnel, workers, and members;participation in the development of social programs aimed at enhancing human dignity and development;providing advisory, legal, and financial assistance to its members;observing the uniformity of rules and standards of the International Federation of Association Football (FIFA) and the Asian Football Confederation (AFC), the International Federation of Professional Footballers (FIFPRO), and international organizations;providing practical assistance in promoting football advocacy events, as well as involving the masses in the promotion of a healthy lifestyle;protection of the rights and interests of subjects of football activity;promotion of football, collection and dissemination of relevant information to advance the interests and rights of professional football players;implementation of plans and programs in the field of sports;organization of mass cultural events (campaigns, presentations, self-sufficiency, competitions, exhibitions, forums, charitable events);conducting trainings, seminars, roundtables, and other events;cooperation with various organizations and institutions of the republic and foreign countries;formation and enrichment of the material and technical base for the effective activity of the Union, implementation of relevant measures to strengthen the financial base, and attracting sponsors in accordance with the established procedure.The Union may also perform other tasks that do not contradict the normative legal acts and current legislation of the Republic of Tajikistan.
3. RIGHTS AND OBLIGATIONS OF THE UNION3.1 The Union has the following rights:identifying talented young players and creating the necessary conditions for them;assisting state authorities in the training, retraining, and advanced qualification of football specialists;attracting citizens, especially professional football players, to the membership of the Union and providing them with comprehensive assistance;opening regional departments in accordance with the procedure established by law;establishing business structures to achieve established goals and self-financing;disseminating information about its activities;approving its own symbols in accordance with the established procedure;The Union also has other rights provided for by law.
4. CONDITIONS FOR ACQUIRING AND LOSING MEMBERSHIP
4.1. Membership in the Union is voluntary.
4.2. Members of the Union may be, individually or collectively, citizens of the Republic of Tajikistan, foreign citizens, and stateless persons who have reached the age of 18 and who can become members of the Union in accordance with the procedure established by legislation.
4.3. Applications for admission or withdrawal on an individual or collective basis are sent to the Chairman of the Union and are reviewed by the Board of the Union.Admission to the Union on a voluntary individual basis is carried out upon the written application of the person wishing to join the Union. An application for admission to the Union shall be submitted in one of the following ways: 1) in writing to the authorized representative of the Union or by mail to the location of the Union; 2) in writing by sending an electrographic copy (scan image/scanned copy) of the signed application to the e-mail address of the Union; 3) in writing by filling out a form on the website of the Union.
4.4. Members of the Union are considered equal in rights. Matters of membership, admission, and exclusion, as well as the amount of membership fees to the Union and the procedure for their payment, shall be determined by a resolution of the Board.
4.5. Members of the Union have the following rights:to freely participate in the activities of the Union;to be elected to the governing bodies of the Union;to receive information about the activities of the Union;to submit proposals regarding the activities of the Union to its governing bodies and participate in their consideration;to voluntarily withdraw from membership.
4.6. Obligations of the members of the Union are:to comply with the legislation of the Republic of Tajikistan, this Statute, and the decisions of the governing bodies of the Union;to take an active part in the affairs of the Union;to pay admission and membership fees in accordance with the established procedure;to notify the leadership of the Union in advance of a voluntary withdrawal from the Union;to report violations of legal requirements by members and representatives of the Union to the governing bodies of the association;to strictly observe safety requirements during sessions.
4.7. Members of the Union may not disseminate false information about the activities of the Union, incite conflicts and disagreements among its members, or spread information that damages the reputation of the Union.
5. POWERS AND PROCEDURE FOR THE ORGANIZATION OF THE LEADERSHIP OF THE UNION AND ITS UNITS
5.1. The governing bodies of the Union are:the general meeting;the chairman of the Union;an Audit Commission is established to oversee the financial and economic activities of the Union.
5.2. The General Meeting is the supreme governing body of the Union.
5.2. 1. The General Meeting is held as necessary, but at least once every five years.Resolutions of the general meeting are valid provided that at least 60% [of delegates/participants] are present, and are adopted by a simple majority vote of 51 percent.Regional and local departments of the Union and other members of the Union must be notified of the General Meeting in writing or through information sources no later than 15 days, and no later than 10 days before the General Meeting is held.The notice of the convocation of the general meeting must contain the text of the issues provided for in the agenda.The General Meeting is convoked and the number of participants is determined. The procedure and conditions for holding the general meeting are determined by the management board of the Union. The persons who are to participate in the general meeting are elected by the regional and local departments of the Union at the General Meeting of the regional and local branches of the Union in the number established by the Board of the Union.
5.2. 2. The powers of the general meeting include:adopting a decision on the establishment, reorganization, and liquidation of the Union;adopting and approving the statute of the Union, amendments to the clauses of the statute, as well as approving a new statute;determining the main areas of activity of the Union and ensuring general control over the activities of the Union;electing for a term of 5 years and early election of the chairman and members of the Union and dismissing them from office;forming the audit commission of the Union, electing and dismissing its chairman and members;hearing and approving the reports of the chairman of the Union, the Board, and the audit commission;consideration of other important matters related to the activities of the Union.
5.2. 3. The activity of the Union is carried out by the Board of the Union at general meetings.
5.3. The Board:
5.3. 1. Members of the Board are elected at the general meeting by a simple majority of votes in a number of at least 5 people for a term of 5 years. The Chairman of the Union is simultaneously the Chairman of the Board.
5.3. 2. Meetings of the Board may be convened at least once every three months, but if necessary, they can be convened early.Resolutions of the Board are adopted by open voting. A meeting of the Board is valid if 75 percent of its members are present, and decisions are adopted by a simple majority of votes.
5.3. 3. Powers of the Board:control over the execution of resolutions of the general meeting;convening extraordinary general meetings;adopting decisions on the establishment and termination of activities of regional and local bodies of branches and business entities in accordance with legislation;control over the activities of regional branches of the Union;approving cooperation programs, event plans, and current action plans;goals and tasks established in the statute of the Union, and control over their execution;consideration of the amount and procedure for the payment of membership and membership fees to the Union;exemption from the payment of membership fees;considers matters of individual or collective membership and withdrawal from the Union, and adopts relevant decisions;nominating the chairman of the Union to the general meeting;developing and presenting matters related to general meetings;organizing and electing commissions related to the activities of the Union, as well as approving budget and other documents;approving regulations on regional and local departments of the Union, election and early dismissal from office of heads of sectors and regional and local administrative institutions;together with the chairman of the Union, resolving existing problems of the Union, providing comprehensive assistance to the chairman of the Union to increase the efficiency of the Union. The Board may also consider other matters related to the activities of the Union.
5.3. 4. The Chairman of the Union is based on the principles of legality, transparency, voluntariness, equal rights of its members, leadership is based on and self-governing, guided by the law and this statute, is liable.Chairman of the Union.
5.3. 5. Powers of the chairman of the Union:general management of the current activities of the Union;control over the execution of decisions of the governing bodies of the Union;disposal of the property of the Union and decisions of the Board regarding monetary funds;acts on behalf of the Union without a power of attorney, concludes agreements, and performs other legal actions;approving the staff schedule of the Union, internal labor regulations, and assignment of employees;incentive and approval of the amount and procedure for rewarding employees of the Union, heads and employees of regional and local units, and holding them disciplinarily liable;liability for violation of labor discipline and execution of internal regulations;providing employment to employees of the Union in accordance with the requirements of the law;concluding labor agreements with them, issuing relevant orders and instructions;opening and signing bank accounts of the Union in national and foreign currency.
5.3. 6. Vice-chairmen are appointed by a resolution of the chairman of the Union. The powers of the vice-chairmen of the Union are determined on the basis of the distribution of duties approved by the chairman of the Union.
5.3. 7. In the absence of the chairman of the Union, his duties may be temporarily performed on behalf of the chairman of the Union or by a decision of the Board of the Union by one of the vice-chairmen of the Union.
5.4. Audit Commission of the Union:
5.4. 1. Members of the audit commission are elected by a majority vote of the members for a term of 5 years.
5.4. 2. The chairman of the audit commission is elected from among the members of the audit commission.
5.4. 3. The audit commission oversees the financial and economic activities of the Union, the execution of resolutions of the General Meeting and the Board, the implementation of the Statute, and the financial results of the Union.
5.4. 4. The financial and economic activity of the Union is audited by the Audit Commission once a year; it is accountable at the end of the year.
5.4. 5. During an audit, the audit commission must be provided with all necessary materials, and it shall verify documents and data relating to financial and economic activities.
5.4. 6. The audit commission may review applications and complaints of citizens in the Union and adopt relevant decisions based on the results.
5.4. 7. The audit commission submits a written report on the results of the audit.The Management Board of the Union accepts it within one month and informs the General Meeting.
5.4. 8. A member of the audit commission cannot simultaneously be a member of another audit commission.
5.5. Competence of the governing bodies of the Union and the procedure for their establishment, term of powers:
5.5. 1.In accordance with the established procedure to achieve statutory goals, the Union may engage in entrepreneurial activity, including the establishment of subsidiaries, limited liability companies, and companies with additional liability (in accordance with the law).
5.5. 2. Organizations of the Union are established in accordance with clause
5.3. 3 of this Statute, according to the decision of the Board of the Union.
5.5. 5. The powers of managers and other employees of the Union, rights, and responsibilities are defined in their job descriptions and duties.
6. REPORTING OF THE UNION
6.1. The Union keeps records of its activities and reports to the tax and statistics authorities in accordance with the procedure established by law.
6.2. The financial and economic activity of the Union is taxed within the competence established by current legislation and is audited by financial and other state bodies, including, in cases of necessity, auditors.
6.3. The Union is independent in its activities and reports to the named bodies only in accordance with the requirements of legislation, unless otherwise provided by law.
6.4. The Union pays taxes and other mandatory payments to the budget and the state.
7.1. Laws on labor and social protection, and social protection of employees apply to the employees of the Union and its units.
7.2. Labor relations of the employees of the Union are determined by the internal labor regulations and the collective agreement.
7.3. Employees of the Union conclude a labor agreement in accordance with the requirements, act according to legislation, and on a voluntary basis. Members of the Board and the Audit Commission are a working body acting on a voluntary basis and can be compensated accordingly.
8. SOURCES OF PROVIDING OWN FUNDS AND OTHER PROPERTY OF THE UNION AND ITS UNITS
8.1. Buildings, housing, equipment, vehicles, sports property, and other inventory, as well as cash, including foreign currency, securities, and other property, may be the property of the Union.The Union may:sell to legal entities and individuals any of its property or real estate, lease, donate, and provide for temporary use, or borrow by decision of the Board;purchase free of charge, lease out, or lease property;receive all types of loans, as well as sponsorship and donations, in the procedure established by law.
8.2. The property of the Union is protected by law.
8.3. The Union is liable for its obligations with its property, which is formed in accordance with the law.
8.4. The property of the Union may consist of:admission and membership fees;voluntary property contributions and donations;income (profit) from the activities of commercial legal entities established by the Union, solely for the goals and tasks defined in this Statute;one-time and regular income from participants and sponsors;grants received from local and foreign organizations in accordance with legislation, social orders, or subsidies;other sources not prohibited by law.
8.5. Organizations of the Union established as business entities carry out entrepreneurial activities in accordance with their statutes and transfer their funds and property to the Union.The Union may use these funds only for the purposes provided for in the statute of the Union.
8.6. The Union may regularly or periodically allocate funds to its organizations to support their activities. In addition, organizations of the Union may allocate funds to ensure the activities of the Union in accordance with the established procedure.
9. SOURCES OF PROVIDING OWN FUNDS AND OTHER PROPERTY OF THE REGIONAL STRUCTURES OF THE UNION AND ITS UNITS
9.1. The Union may establish regional units in the Republic of Tajikistan in accordance with the law in regions and Dushanbe city, as well as local units registered in districts (cities).
9.2. Regional units of the Union have the status of a legal entity from the moment of their establishment. Local branches are registered with the directorates of justice.
9.3. Upon the establishment of regional units as a legal entity, they may own property, which must be accounted for on the balance sheet of the Union.Regional departments may independently establish links with local and foreign subjects, use the monetary funds and other property provided by them solely for the goals and tasks provided for in this Statute and for administrative expenses.The activities of local branches that do not have the status of a legal entity are financed directly by the Union or the relevant regional branch.
9.4. a The governing body of local departments is the general meeting. Departments are convened every 5 years. The departments are headed by a manager who is elected by a decision of the Board of the Union for a term of 5 years.
9.5. The establishment and liquidation of regional and local units of the Union, their legal status, their rights and obligations, including the right of ownership and the procedure for their financial management, are determined by the Statute of the Union.
10. PROCEDURE FOR REORGANIZATION, TERMINATION OF ACTIVITIES, AND LIQUIDATION OF THE UNION
10.1. Reorganization of the Union can be carried out through division, separation, and transformation.
10.2. The activity of the Union may be suspended by a court in the event of a violation of the law by the Union.
10.3. Liquidation of the Union is carried out by a resolution of the general meeting or through judicial proceedings.
10.4. The body adopting a decision to hold a general meeting or to liquidate the Union, in coordination with the state registration authority, appoints a liquidation commission.
10.5. Liquidation of the Union is carried out in accordance with the procedure established by the legislation of the Republic of Tajikistan.
10.6. Property remaining after the satisfaction of creditors' claims cannot be distributed among the members of the Union, as well as among the employees of the Union, and shall be used in accordance with the established procedure.
11. PROCEDURE FOR MAKING AMENDMENTS AND ADDITIONS TO THE STATUTE
11.1. Amendments and additions to the Statute of the Union are introduced in accordance with the procedure established by it according to the legislation and shall be re-registered pursuant to the General Meeting of the Union.
12. FINAL PROVISIONS
12.1. Rules not provided for in this Statute shall be regulated by the law of the Republic of Tajikistan.
